These Terms and Conditions (“Terms”) govern access to and use of LupinSync Global Invoices (the “Service”), available at global-invoices.lupinsync.tech, including the cloud application, APIs, webhooks, and the WordPress/WooCommerce plugin that connects to the Service. The Service is a product of LupinSync.tech, operated by Bhoi Enterprises, a proprietorship (“LupinSync”, “we”, “us”, “our”). By creating an account, connecting an installation, or otherwise using the Service, you (“you”, the “customer”) agree to these Terms.
1. The Service
LupinSync Global Invoices is an international SaaS invoicing platform. It helps organizations create and manage commercial and proforma invoices across countries, currencies, and tax configurations; manage customers; record invoice payments; run recurring schedules; generate PDF documents; deliver invoices electronically; connect WooCommerce stores; and use a developer API and webhooks.
The Service is digital software. No physical goods are shipped under these Terms — see our Shipping & Delivery Policy. LupinSync Global Invoices is a separate product from LupinSync's India-focused invoicing offering and is not marketed as an India GST tax-invoice engine.
2. Company identity
The Service is operated by Bhoi Enterprises under the LupinSync.tech technology brand. Company identification details are listed at the end of this page.
3. Eligibility and accounts
- You must be able to form a binding contract and use the Service only for lawful business purposes.
- You are responsible for the accuracy of the account information you provide (such as email and display name) and for keeping login credentials secure.
- Email verification and session authentication are required for account access as implemented by the Service.
- You must promptly update account details that become inaccurate.
4. Organizations, memberships, and legal entities
The Service is organized around an organization (account) that may contain memberships and one or more legal entities. Legal entities represent sellers that appear on invoices. You are responsible for:
- Creating and maintaining accurate organization and legal-entity information.
- Controlling which users have access to your organization and their roles.
- Ensuring that invoice, customer, tax, and currency data you enter is accurate for your business.
5. Customer-provided data and invoice responsibility
You control the customer records, line items, taxes, currencies, exchange rates, numbering, and other commercial data you enter into the Service. Generated invoices and PDFs reflect the data and configuration you supply. You remain responsible for:
- The commercial and tax correctness of invoices you issue.
- Compliance with laws applicable to your business, including tax and invoicing rules in the jurisdictions where you operate.
- Obtaining any rights needed to process customer or counterparty data you store in the Service.
We do not guarantee that a generated invoice is legally valid, tax-compliant, or accepted by any authority in every country. The Service provides tooling; it does not replace professional tax or legal advice.
6. Currency and exchange rates
The Service supports multi-currency invoicing using integer minor units and ISO currency codes. Where you configure exchange rates, you are responsible for the rates you apply. SaaS subscription billing for Global Invoices is priced in United States dollars (USD), as described in our Subscription Policy.
7. Free and paid plans
The Service offers a Free plan and paid Monthly and Yearly plans. Current customer-facing pricing is:
- Free — USD $0, free forever for core capabilities.
- Monthly — USD $9.99 per month.
- Yearly — USD $69 per year.
Monthly and Yearly include the same paid capability set. Feature availability is enforced by cloud entitlement. Details of recurring billing, renewal, and entitlement activation are in the Subscription Policy. Refunds and cancellations are governed by the Cancellation & Refund Policy.
8. Payments and payment processing
Paid SaaS subscriptions are intended to be processed through a third-party payment processor (Razorpay) when checkout is enabled for your environment. Card and other instrument details are handled by the payment processor, not stored by LupinSync as full payment-card data. Your use of a payment method is also subject to the processor's terms. Creating a subscription object does not, by itself, grant paid entitlement; paid access activates after a verified successful charge as described in the Subscription Policy.
Payments your end customers make on invoices you issue (merchant invoice payments) are separate from LupinSync SaaS subscription billing and are not governed by the same ledger.
9. WordPress / WooCommerce integration
Optional WordPress/WooCommerce connectors allow a store to authenticate to your organization and use cloud entitlement and invoicing APIs. LupinSync is independent of, and not affiliated with, Automattic Inc. or the WooCommerce project. You are responsible for your WordPress/WooCommerce hosting, licenses, and store configuration. Paid automation/bulk capabilities require an active paid plan entitlement.
10. API, webhooks, and integrations
Where you use API keys, webhooks, or third-party integrations, you must keep credentials confidential, use appropriate scopes, and not attempt to access another organization's data. You are responsible for the security of systems that hold your API keys and webhook secrets.
11. Acceptable use
- Do not attempt to circumvent security, authentication, entitlement, or rate limits.
- Do not use the Service to create fraudulent, falsified, or knowingly unlawful invoices or documents.
- Do not interfere with other customers' use of the Service or attempt unauthorized access.
- Do not reverse engineer the Service except to the limited extent permitted by applicable law.
- Do not use the Service in violation of export, sanctions, privacy, or other applicable laws.
12. Intellectual property and plugin licensing
The LupinSync.tech and LupinSync Global Invoices names, logos, software, documentation, and service (excluding your own organization data and content) are owned by Bhoi Enterprises and its licensors. Subject to these Terms and your plan, we grant you a limited, non-exclusive, non-transferable right to use the Service and any official plugin for your own business. These Terms do not transfer ownership of LupinSync intellectual property to you.
13. Third-party services
The Service relies on third-party infrastructure (for example hosting, email delivery, and, when enabled, Razorpay for subscription payments). We do not control third-party availability and are not responsible for outages or changes outside our reasonable control.
14. Service availability and changes
We aim to keep the Service reliable, but it is provided on an “as available” basis. We do not guarantee uninterrupted or error-free operation. We may perform maintenance, improve features, or change non-material aspects of the Service. Material changes to these Terms are handled as described below.
15. Security and data responsibilities
We implement reasonable technical and organizational measures appropriate to the Service. You are responsible for securing your accounts, API keys, WordPress installations, and the devices you use to access the Service. Our processing of personal data is described in the Privacy Policy.
16. Suspension and termination
We may suspend or terminate access for material breach of these Terms, abuse, unpaid obligations after applicable grace periods, or legal risk, with notice where reasonably practicable. You may stop using the Service at any time. Stopping use or disconnecting a plugin does not by itself cancel a paid subscription; cancel billing through your account billing controls as described in the Subscription Policy.
17. Limitation of liability
To the maximum extent permitted by applicable law, LupinSync is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data, arising from use of the Service — including errors in invoices generated from data you supplied, tax outcomes, currency conversion choices, or third-party outages. Nothing in these Terms limits liability that cannot lawfully be limited under applicable Indian law.
18. Indemnification
You agree to indemnify and hold Bhoi Enterprises harmless from claims, losses, and expenses (including reasonable legal fees) arising from your content, your invoices, your misuse of the Service, or your violation of these Terms or applicable law, except to the extent caused by our willful misconduct.
19. Governing law and jurisdiction
These Terms are governed by the laws of India. Courts in India shall have jurisdiction over disputes arising from these Terms, subject to any mandatory consumer-protection rights that cannot be waived.
20. Changes to these Terms
We may update these Terms as the Service evolves. We will update the “Last updated” date above when we do. Continued use of the Service after an update constitutes acceptance of the revised Terms, except where applicable law requires a different process.
